ENGLISH

1. Licensor. Vocal Perfect is created and licensed by OverTheMix, Italy,
   e-mail support@overthemix.com, website www.overthemix.com ("OverTheMix").

2. Purchase. If you bought Vocal Perfect through a reseller or payment
   platform, that reseller's terms also apply to payment, invoicing,
   withdrawal and refunds. This agreement governs the use of the software.

3. License. OverTheMix grants you a personal, non-exclusive,
   non-transferable license to install and use Vocal Perfect (VST3 plugin and
   standalone application) on up to two (2) computers, unless a different number
   is stated at purchase.
   The license is activated with the purchased license key and is verified
   online periodically: an internet connection is required for activation
   and at least once every 30 days.

4. Updates. OverTheMix may release updates, which are subject to this
   agreement. Updates within the same major version are included in your
   license; new major versions may be offered separately. Support: support@overthemix.com.

5. Restrictions. Except as expressly permitted by mandatory law, you may not:
   copy, distribute, resell, rent, lend, decompile, disassemble or modify the
   software; circumvent or disable the license protection; share or publish
   your license key.

6. Ownership. The software and all related rights remain the property of
   OverTheMix. You are granted a license to use it, not ownership. Audio you
   create with Vocal Perfect is 100% yours and may be used commercially, with
   no royalties and no attribution required.

7. Your responsibilities. You are responsible for: holding the rights to the
   audio files you process (including tracks used as a reference); keeping
   backups of your projects and files; listening to and checking the result
   before publishing it. Processing is automatic and results depend on the
   source material.

8. Warranty. To the maximum extent permitted by law, the software is provided
   "as is", without warranties beyond those required by law; OverTheMix does
   not warrant that it is error-free or compatible with every computer,
   operating system or DAW. Your statutory consumer rights, including the
   legal guarantee of conformity for digital content, are not affected.

9. Limitation of liability. To the maximum extent permitted by law,
   OverTheMix is not liable for indirect or consequential damages, loss of
   data, projects, profits or opportunities arising from the use of or
   inability to use the software, and its total liability shall not exceed
   the price paid for the license. These limitations do not apply in cases
   of intent or gross negligence, or where the law does not allow liability
   to be excluded or limited.

10. Personal data. To activate and verify the license, the software may send
    OverTheMix, or the service that manages licenses, your license key and a
    technical identifier of your computer, used only for this purpose. The
    software does not collect or send the audio you process. Details in the
    privacy policy at www.overthemix.com.

11. Termination. The license ends automatically if you breach this
    agreement. You must then stop using and uninstall the software.

12. Third-party components. Vocal Perfect includes third-party components
    distributed under their own licenses, listed in the file
    THIRD_PARTY_NOTICES.txt installed with the program. VST is a registered
    trademark of Steinberg Media Technologies GmbH.

13. Governing law and jurisdiction. This agreement is governed by Italian
    law. If you are a consumer, the courts of your place of residence have
    jurisdiction and the mandatory protections of your country of residence
    still apply. Otherwise the competent Italian courts have jurisdiction.

14. If any clause is held invalid, the remaining clauses stay in effect.

15. Demo version. "Vocal Perfect Demo" is free and may be used only to try
    the software before buying it. It needs no license key and no internet
    connection, and sends no data. It works like the full version, except
    that every few seconds the sound is muted while a voice says "Vocal
    Perfect", export is disabled in the standalone application, and a fast
    (offline) export from your DAW comes out silent. You may not remove,
    hide or get around these limitations. Clauses 5, 6, 8, 9, 11, 12 and 13
    also apply to the demo version.

ITALIANO

1. Licenziante. Il software Vocal Perfect e' creato e concesso in licenza da
   OverTheMix, Italia, e-mail support@overthemix.com, sito www.overthemix.com ("OverTheMix").

2. Acquisto. Se hai acquistato Vocal Perfect tramite un rivenditore o una
   piattaforma di pagamento, per pagamento, fatturazione, recesso e rimborsi
   valgono anche le condizioni di quel rivenditore. Il presente contratto
   regola l'uso del software.

3. Licenza. OverTheMix ti concede una licenza personale, non esclusiva e non
   trasferibile per installare e usare Vocal Perfect (plugin VST3 e
   applicazione standalone) su un massimo di due (2) computer, salvo un numero
   diverso indicato al momento dell'acquisto. La licenza si attiva con il codice di licenza acquistato
   e viene verificata online periodicamente: serve una connessione a internet
   per l'attivazione e almeno una volta ogni 30 giorni.

4. Aggiornamenti. OverTheMix puo' rilasciare aggiornamenti, che sono
   soggetti a questo contratto. Gli aggiornamenti della stessa versione
   principale sono inclusi nella licenza; eventuali nuove versioni principali
   possono essere offerte separatamente. Assistenza: support@overthemix.com.

5. Limitazioni. Salvo quanto espressamente consentito da norme di legge
   inderogabili, non e' consentito: copiare, distribuire, rivendere,
   noleggiare, prestare, decompilare, disassemblare o modificare il software;
   aggirare o disattivare la protezione della licenza; condividere o
   pubblicare il codice di licenza.

6. Proprieta'. Il software e tutti i relativi diritti restano di proprieta'
   di OverTheMix. Viene concessa solo una licenza d'uso, non la proprieta'.
   L'audio che produci con Vocal Perfect appartiene al 100% a te e puoi usarlo
   anche a fini commerciali, senza royalty e senza obbligo di citazione.

7. Responsabilita' dell'utente. Sei responsabile di: avere i diritti sui file
   audio che elabori (comprese le tracce usate come riferimento); conservare
   copie di sicurezza dei tuoi progetti e file; ascoltare e verificare il
   risultato prima di pubblicarlo. Il trattamento audio e' automatico e il
   risultato puo' variare in base al materiale di partenza.

8. Garanzia. Nei limiti massimi consentiti dalla legge, il software e'
   fornito "cosi' com'e'", senza garanzie ulteriori rispetto a quelle
   previste dalla legge; OverTheMix non garantisce che sia privo di errori o
   compatibile con ogni computer, sistema operativo o DAW. Restano sempre
   salvi i diritti che la legge riconosce al consumatore, compresa la
   garanzia legale di conformita' dei contenuti digitali.

9. Limitazione di responsabilita'. Nei limiti massimi consentiti dalla legge,
   OverTheMix non risponde di danni indiretti o consequenziali, perdita di
   dati, di progetti, di guadagni o di opportunita' derivanti dall'uso o dal
   mancato uso del software, e la sua responsabilita' complessiva non supera
   il prezzo pagato per la licenza. Queste limitazioni non si applicano in
   caso di dolo o colpa grave, ne' nei casi in cui la legge non consente di
   escludere o limitare la responsabilita'.

10. Dati personali. Per attivare e verificare la licenza il software puo'
    inviare a OverTheMix, o al servizio che gestisce le licenze, il codice di
    licenza e un identificativo tecnico del computer, usati solo a questo
    scopo. Il software non raccoglie ne' invia l'audio che elabori. Dettagli
    nell'informativa privacy su www.overthemix.com.

11. Cessazione. La licenza cessa automaticamente se violi questo contratto.
    In tal caso devi smettere di usare il software e disinstallarlo.

12. Componenti di terze parti. Vocal Perfect include componenti di terze
    parti distribuiti con le rispettive licenze, elencate nel file
    THIRD_PARTY_NOTICES.txt installato insieme al programma. VST e' un
    marchio registrato di Steinberg Media Technologies GmbH.

13. Legge e foro. Il contratto e' regolato dalla legge italiana. Se sei un
    consumatore, e' competente il giudice del luogo della tua residenza e
    restano salve le tutele inderogabili del tuo Paese di residenza. Negli
    altri casi e' competente il foro italiano individuato dalla legge.

14. Se una clausola risultasse invalida, le altre restano valide.

15. Versione demo. "Vocal Perfect Demo" e' gratuita e si puo' usare solo
    per provare il software prima di acquistarlo. Non richiede codice di
    licenza ne' connessione a internet e non invia dati. Funziona come la
    versione completa, tranne che: ogni pochi secondi il suono si spegne
    mentre una voce dice "Vocal Perfect", nell'applicazione standalone
    l'esportazione e' disattivata e l'esportazione veloce (offline) dalla DAW
    esce muta. Non e' consentito rimuovere, nascondere o aggirare queste
    limitazioni. Alla versione demo si applicano anche le clausole 5, 6, 8,
    9, 11, 12 e 13.
